Specialty agreements may be required by the sponsor and must be processed through The Office of Research in collaboration with Legal Affairs and requires authorization by the EVP and COO Herald Hewitt. |Material Transfer Agreement (MTA)||A MTA is a contract that transfers tangible materials between organizations to be used by the PI to complete the proposed scope of work. The MTA defines the rights of the provider and recipient with respect to the materials and any derivatives.|
|Memorandum of Understanding (MOU)||A MOU is an agreement between two or more organizations that defines the roles and responsibilities of each of the participating members.|
|Non-Disclosure Agreement (NDA)||A NDA is a legal contract that outlines proprietary information shared between two or more parties and restricts the dissemination to outside members.|
|Data Use Agreement (DUA)||A DUA is a contract that governs the transfer of data, where the data is nonpublic or is otherwise subject to some restrictions. A DUA protects confidentiality, but permits the publication and sharing of project findings.|
|Cooperative Research and Development Agreements (CRADA)||A CRADA is a written agreement between the University and a government to work together on research and development.|
|Intellectual Property Agreement (IP)||IP is any product of the human mind that the law protects from unauthorized use by others. IP is typically comprised of four categories: patents, copyrights, trademarks and trade secrets.|
|Professional Services Agreement||A Professional Services Agreement is a contract between the University and an independent contractor/vendor that is hired to provide specific technical, educational or expertise to complete the proposed scope of work.|
|Research Agreement||A Research Agreement is a contract between the University and a sponsor, whereby the University has the experience, capabilities and expertise necessary to complete the project scope of work.
